These Terms of Service (“Terms”) govern your use of our supplier evaluation platform, including our website, services, and applications (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. Account Registration

To access certain features, you must register for an account. You agree to:

• Safeguard your credentials.
   
• Notify us immediately of any unauthorized use.
   

You are responsible for all activity under your account.

2. Supplier Evaluation Services

ForthSource aggregates public and proprietary data (SEO, backlinks, PageSpeed, LinkedIn, reviews, delivery zones, etc.) to produce supplier evaluation profiles. These evaluations are informational only. You remain solely responsible for any decisions or engagements with suppliers.

3. User Conduct

You agree not to:

• Violate any laws or third‑party rights.
   
• Interfere with the Platform’s security or functionality.
   
• Impersonate others or distribute unsolicited content.
   
• Attempt to access data you are not authorized to view.
   

4. Fees and Payments

Our core evaluation services are currently free. If we introduce paid features, we will disclose all fees in advance. Payments (for any future premium services) will be processed via secure third‑party providers.

5. Intellectual Property

All content on the Platform—text, logos, designs, software—is owned or licensed by ForthSource. You may not reproduce, distribute, or create derivative works without our prior written consent.

6. Evaluation-Only Disclaimer

ForthSource does not facilitate transactions between you and suppliers. We do not process orders, handle payments, or provide escrow. Our evaluation data is intended to support your due diligence; ultimate responsibility for supplier selection and contracting rests with you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORTHSOURCE AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM OR ANY SUPPLIER DECISIONS MADE BASED ON OUR DATA.

8. Indemnification

You agree to indemnify and hold harmless ForthSource and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Platform or violation of these Terms.

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share information. Please review it carefully.

10. Termination

We may suspend or terminate your access at any time, without notice, if you breach these Terms or for any other reason. Upon termination, all rights granted to you will cease immediately.

11. Changes to Terms

We may modify these Terms at any time. We will update the “Last Updated” date and, if changes are material, provide additional notice. Continued use after changes constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any dispute arising from these Terms or your use of the Platform will be resolved by binding arbitration in Amsterdam, unless otherwise required by law.
